Seller Agreement
Terms for independent brands offering their products through the PAWITURE marketplace.
This Seller Agreement (the “Agreement”) is between PAWITURE (“PAWITURE,” “we,” “us,” or “our”) and the individual or business agreeing to sell products through PAWITURE (“Seller,” “you,” or “your”). The party acting as PAWITURE is the operator of the PAWITURE marketplace identified by its legal business details provided in connection with this Agreement. A person accepting for a business represents that they have authority to bind that business. PAWITURE and Seller may each be called a “Party” and together the “Parties.”
Effective upon acceptance. This Agreement becomes effective for a Seller when a duly authorized representative validly accepts the legally approved, published Seller Agreement on behalf of that Seller. Publication alone, browsing the website, or creating an account without the required Seller Agreement acceptance does not constitute acceptance of this Agreement.
1. Definitions and interpretation
“Buyer” means a person who purchases or seeks to purchase Seller Products through PAWITURE, including through guest checkout. “Connected Account” means the Seller’s Stripe account connected to PAWITURE using Stripe Connect Express. “Marketplace” means the PAWITURE web service, including its seller storefronts, product pages, checkout and order-support functions. “Marketplace Policies” means the customer-facing Terms of Service, Shipping Policy, Returns and Refunds Policy, Privacy Policy, published product standards, and other expressly identified operational policies applicable to PAWITURE orders, as amended lawfully. “Order” means an order for Seller Products placed by a Buyer through the Marketplace and recorded by PAWITURE. “Seller Content” means the business information, trademarks, text, images and other materials Seller supplies for its storefront or product listings. “Seller Products” means permitted physical products Seller offers through the Marketplace. “Stripe” means Stripe, the third-party payment services provider that processes Marketplace transactions under the applicable Stripe agreements.
Headings are for readability. “Including” means “including without limitation,” but does not expand the Marketplace beyond the services offered by PAWITURE. References to applicable law include mandatory consumer-protection and privacy requirements. A defined term does not by itself create a feature, service or fee.
2. Scope; relationship to other policies
This Agreement governs Seller’s access to and participation in the Marketplace and Seller’s responsibilities for sales made through it. The Marketplace Policies also apply to relevant transactions and customer interactions. Seller must follow them to the extent they are communicated to Seller and consistent with applicable law. If this Agreement conflicts with a more protective, legally mandatory right of a Buyer, applicable law controls. If an incorporated Marketplace Policy materially conflicts with an express Seller financial or liability term in this Agreement, the Parties must apply the governing law and the specific, validly agreed commercial term; A later change to a Marketplace Policy will not retroactively change the commission rate or Commission Base recorded for a completed Order.
PAWITURE is not a general-purpose ecommerce website builder, payment institution, bank, fulfillment company, accounting service or guarantor of Seller’s business success. The Marketplace supports transactions within the United States, uses U.S. dollars and supports one Seller per checkout. Seller may not use the Marketplace to solicit unsupported international or cross-border Orders through the PAWITURE checkout.
3. Independent seller and PAWITURE roles
Seller offers and supplies its own Seller Products and is responsible for their truthfulness, legality, availability, quality, fulfillment and customer remedies. PAWITURE provides the curated Marketplace environment, controls the buyer-facing design and checkout, operates marketplace rules and seller approval, and coordinates relevant order, support, payment and dispute processes. Buyers purchase the independent brand’s products through PAWITURE; Seller’s identity should be appropriately disclosed in the purchasing experience.
Seller operates an independent business. Nothing in this Agreement creates employment, franchise, partnership, joint venture, general agency or exclusivity between the Parties. Neither Party may bind the other except as expressly permitted by this Agreement or a separately authorized transaction. The Parties acknowledge that the legal merchant-of-record, settlement-merchant, sales-tax and payment-liability consequences of the chosen Stripe configuration are determined by applicable law and governing payment agreements, not merely by the labels used here.
4. Eligibility; authority; accurate information
Seller represents that it is legally permitted to conduct its business and sell the Seller Products offered; has the authority and rights needed to enter this Agreement; and will maintain truthful, current business, ownership, support and account information. A person accepting for an organization must have authority to bind it. Seller must not impersonate another business, submit fictitious credentials or use misleading names, addresses or product-origin information.
A Seller may maintain one authorized seller account and one PAWITURE storefront unless PAWITURE expressly permits otherwise. Seller must safeguard credentials, restrict access to authorized persons, promptly report suspected compromise and be responsible for activity performed through its account to the extent permitted by law. PAWITURE may verify eligibility and request reasonable information needed for marketplace operations or legal compliance, without duplicating banking or identity data that Stripe appropriately collects.
5. Registration, payment setup and Launch Review
Creating a PAWITURE account or storefront does not grant permission to transact or guarantee approval. Seller may develop its storefront and catalog while separately completing Stripe payment setup. Seller must provide a complete and accurate storefront, permitted catalog, basic shipping and returns information, and satisfy verified payment-readiness requirements before submitting for PAWITURE’s final Launch Review. Only PAWITURE may approve the Seller’s launch; Seller may not represent itself as approved or bypass required review steps.
PAWITURE may request corrections, approve, reject, suspend or later reassess marketplace participation for legitimate eligibility, product-quality, safety, legal, operational or trust-and-safety reasons, exercising its rights in good faith and subject to applicable law. Approval is not an endorsement, safety certification or promise of ongoing access. Permitted Seller Products may be published under PAWITURE’s category and product-type rules without individual manual approval of each listing; PAWITURE reserves the right to review, investigate, unpublish, remove or restrict listings where genuine concerns arise.
If Seller’s Connected Account later ceases to meet payment-readiness requirements, PAWITURE may block new checkout transactions without automatically cancelling paid Orders or relieving Seller of fulfillment, refund or support duties.
6. Storefront identity and seller content
Seller controls its permitted brand name, descriptive text, logo, storefront images, product information and other designated profile details within PAWITURE’s standardized storefront structure. Seller must keep public contact and consumer-facing information accurate and must have permission to display any names, photographs, trademarks or content it uploads. Seller may not misrepresent brand affiliation or claim PAWITURE has tested, medically approved or guaranteed its products.
PAWITURE controls site design, navigation, core product layout, checkout, marketplace trust content, product eligibility, core order-document layout, and permissible customization. Seller receives no entitlement to a customized theme, external checkout, prominent placement, search ranking or permanent storefront URL format. PAWITURE may make reasonable presentation or accessibility changes without transferring ownership of Seller Content.
7. Product eligibility and prohibited products
Seller Products must be new, physical, non-ingestible and non-medicated pet or pet-lifestyle goods within the permitted categories and product types maintained by PAWITURE. Examples include appropriate collars, harnesses, leashes, beds, bowls, toys, grooming accessories, pet-travel accessories and pet home/lifestyle goods. Current unsupported categories include pet food, treats, supplements, medications, CBD products, flea-and-tick treatments, veterinary diets and medical devices. Seller must not list counterfeit, stolen, recalled, unsafe, unlawful, deceptively represented or otherwise prohibited products.
Seller is solely responsible, as between Seller and PAWITURE and subject to applicable law, for verifying that each Seller Product, its packaging, warnings, instructions, labels, marketing statements and intended uses comply with the laws and standards applicable to the product and sale. Seller must not make unsubstantiated health, performance, safety or other claims. Seller will promptly stop offering and appropriately address an affected product if Seller learns of a recall, material safety concern, infringement claim or legal prohibition, and will inform PAWITURE through the designated support channel when reasonably necessary to protect Buyers.
The Marketplace’s category controls and PAWITURE’s discretionary review are not substitutes for Seller’s own legal compliance. PAWITURE does not promise to inspect or classify every product description, image or claim before publication. PAWITURE may ask for information, audit a listing, require corrections, unpublish or remove products, or restrict Seller when an actual concern arises.
8. Listings, pricing, inventory and representations
Seller must maintain accurate descriptions, variant options, photographs, price, stock, size, material, condition, availability, processing time and other material purchasing information. Seller sets permissible product prices in USD, subject to the Marketplace’s technical standards and applicable law. Seller must honor the price and terms validly presented to the Buyer at checkout for a paid Order, except where correction, cancellation or refund is required or allowed under applicable law and the customer-facing policies.
Seller must maintain reliable inventory counts and promptly correct inaccurate or unavailable listings. The Marketplace may revalidate stock, eligibility, shipping and price server-side before payment. Such controls cannot guarantee that simultaneous purchases will never exceed available inventory; Seller must promptly resolve an oversold or unavailable paid Order with an appropriate Buyer remedy, including cancellation and refund where required. Refund processing alone does not automatically restore available inventory; any restocking must follow the actual stock workflow.
9. Buyer checkout, Orders and order records
The Marketplace supports browser-based guest checkout, without requiring a PAWITURE buyer account. The current cart and checkout are limited to one Seller’s products per purchase. PAWITURE controls the checkout sequence, displays required item, shipping, tax and total information, and uses authorized Stripe-hosted payment functionality. Seller must not change PAWITURE’s price, tax, shipping or fee computations by browser-side manipulation or instruct a Buyer to bypass checkout for a PAWITURE-originated Order.
A paid Order is supported by PAWITURE’s authoritative order record and confirmed payment events, not solely by an on-screen message. Seller must act on valid paid Orders and may review information needed to fulfill and support them. PAWITURE may create order confirmations, order-status pages and marketplace-order receipts/invoices showing relevant Seller information, purchased items and amounts. Seller must provide accurate details needed for these documents and retains any additional invoicing or tax-document duties imposed on it by applicable law. PAWITURE is not offering a general invoice service for transactions outside its Marketplace.
10. Domestic shipping and fulfillment
Seller sets the basic domestic shipping price, any supported free-shipping threshold, and represented processing time within Marketplace standards. Seller arranges and pays its own fulfillment logistics, selects its carrier, prepares and ships the proper goods, and provides genuine carrier and tracking information where available through the order workflow. Seller must take reasonable care in packing goods and maintain evidence of handoff, transit and delivery appropriate to the Order.
Seller must have a reasonable basis for advertised shipping commitments. If shipment is delayed or becomes impossible, Seller must promptly communicate accurate information, cooperate with PAWITURE and provide the Buyer’s legally required options and remedies, including cancellation or refund when required. Seller must comply with the applicable U.S. mail/internet-order shipping rules, state consumer law and the Marketplace’s published Shipping and Returns policies. Neither an internal processing-time field nor silence from a Buyer waives mandatory rights. Responsibility for lost, misdelivered, damaged or incorrect shipments will be resolved under applicable law, the Order terms and approved Marketplace Policies; this Agreement does not invent an across-the-board transfer-of-risk rule.
11. Customer service and order communication
Seller must address reasonable Buyer questions about its own products, orders, delivery, damages, returns and refunds accurately and in good faith. Seller must use the Marketplace’s order-related communication capabilities or approved support channels for PAWITURE Orders, and must cooperate with PAWITURE in investigating genuine customer concerns. Seller should supply relevant receipts, product information, carrier scans, proof of delivery and prior order communications when reasonably requested.
PAWITURE provides Seller access to customer communications only for legitimate matters relating to PAWITURE Orders. Seller may use Buyer contact details received through the Marketplace only as authorized in Section 23 and applicable privacy law, not as an automatic marketing permission. PAWITURE may communicate directly with Buyers about order, payment, fulfillment, trust, safety and dispute matters.
12. Stripe Connect and payment authorization
To receive marketplace payments, Seller must establish and maintain an eligible Stripe Connect Express Connected Account, complete Stripe-hosted onboarding and verification, provide accurate identity/business/tax/bank information to Stripe as required, and comply with the applicable Stripe Connected Account Agreement, Stripe Services Agreement and payment-network requirements. PAWITURE will not demand Seller’s banking credentials through ordinary PAWITURE storefront forms. PAWITURE may access or use permitted Connected Account status and transaction data needed to enable the Marketplace.
Payments for Marketplace Orders are processed using direct charges on Seller’s Stripe Connected Account, with a PAWITURE application fee. PAWITURE manages its marketplace fee and transaction access through authorized Stripe mechanisms. Stripe administers payment processing, settlement and payouts subject to its own agreements, eligibility requirements and account conditions. A payment may be held, delayed, reversed, disputed, restricted or otherwise affected by Stripe or the payment networks; neither PAWITURE nor Seller may promise a payout date or outcome that the actual payment arrangements do not support.
Seller authorizes PAWITURE to initiate or coordinate transactions, permitted application fees, approved refunds, application-fee returns, dispute-related reconciliations and other specifically authorized payment actions to the extent supported by the final Stripe configuration and this Agreement. This provision does not grant PAWITURE unrestricted access to Seller’s bank account or override Stripe’s contractual obligations.
13. PAWITURE marketplace commission
For each successful eligible Marketplace sale, PAWITURE earns a commission equal to eight percent (8%) of the Commission Base. The Commission Base is the amount paid by the Buyer for Seller Products plus the shipping amount charged by Seller to that Buyer, after any applicable reductions, excluding sales tax. If the Buyer pays $0 for shipping, shipping contributes $0 to the Commission Base. The 8% commission applies to buyer-paid shipping even if Seller uses that amount to cover its own delivery expense.
PAWITURE controls the marketplace-wide rate. Seller cannot change the rate or method of calculation. The commission is collected through the selected Stripe application-fee mechanism, subject to provider capabilities. All amounts are determined by trusted server-side data and applicable minor-unit rounding. The Order’s original fee rate, fee basis and fee amount must remain available for historical reconciliation; later changes in the Marketplace’s pricing policies do not retroactively alter a completed Order’s recorded commission. PAWITURE will not charge Buyers a separate PAWITURE commission or processing surcharge at checkout.
Any reduction included in the commission calculation must be an authorized reduction applicable to the Order. Seller may not independently apply an unsupported discount through the Marketplace.
14. Payment-processing costs and other fees
In addition to the 8% PAWITURE commission, Seller bears applicable Stripe payment-processing costs attributable to its Marketplace transactions under the approved commercial model, to the extent actually charged or lawfully allocated under the governing payment arrangement. PAWITURE will not add a separate buyer-facing charge for PAWITURE commission or Seller’s processing expenses. Actual processing rates, the Stripe account charged, treatment of unreimbursed fees, and any distinct Connect, payout or dispute fee categories depend on the production Stripe arrangement and will be communicated accurately before binding acceptance where material.
Any separate Connect, payout, dispute or other non-processing fees are allocated only as expressly disclosed and validly agreed, or as imposed by Stripe under its applicable agreement with Seller. No subscription fee, listing fee, activation fee, advertising charge or minimum-sales commitment is imposed by this Agreement. Any later materially new seller fee would require a separately authorized disclosure and appropriate agreement/acceptance process.
15. Refunds, returns and ordinary commission reversals
Seller must honor refunds, returns, cancellations and remedies to which Buyers are entitled under applicable law, valid Order terms and PAWITURE’s published Returns and Refunds Policy. Seller-specific return information may supplement, but must not undermine, mandatory marketplace rules or Buyer rights. An eligible refund may be initiated through Seller’s supported Stripe/Marketplace workflow or through an authorized PAWITURE-administered remedy, subject to actual payment capabilities and lawful authority. PAWITURE may coordinate resolution and update the Order record.
For an eligible full refund, PAWITURE returns the full commission attributable to the refunded Commission Base. For an eligible partial refund, PAWITURE returns the commission attributable to the refunded portion of the original merchandise/shipping Commission Base, applying the original Order rate and basis—not a pro rata fraction of the tax-inclusive Buyer payment. For a tax-only refund, no PAWITURE commission is reversed because sales tax was never included in the Commission Base. Commission returns are limited to the original commission less any amounts already returned and are subject to verified transaction status and supported Stripe mechanisms.
Where Stripe does not return a processing cost on an eligible refund, Seller remains responsible for the applicable nonrefunded processing cost under Section 14, except for costs attributable to PAWITURE’s own demonstrated error where Section 17 applies. The Buyer’s required refund is not reduced because of the Parties’ commission or fee allocation. Refunds do not by themselves authorize duplicate reimbursements, automatic inventory restocking or alteration of immutable payment history.
16. Disputes and chargebacks: process and evidence
A cardholder, bank or payment network may open a payment dispute or chargeback. The outcome of that financial process is separate from the Parties’ determination of whose acts or omissions caused the underlying loss. A lost dispute, fraud code or payment reversal alone does not establish Seller fault. Stripe and the applicable banks/networks decide disputes within their processes and may debit accounts under their agreements; PAWITURE’s internal commercial allocation does not override those rights.
PAWITURE coordinates Marketplace-related payment disputes through its supported processes. Seller must cooperate, preserve relevant records and provide timely and accurate evidence reasonably requested, including product descriptions, Buyer communications, shipping records and delivery proof. The Parties will not create evidence, misstate shipment status or pursue double recovery of the same amount. Any allocation or recovery is subject to the actual Stripe agreement and applicable law.
17. Allocation of dispute losses and platform errors
Seller-attributable matters. To the extent a disputed amount, applicable dispute cost or documented loss results from Seller’s demonstrated material failure—for example, materially inaccurate product representations, nonfulfillment or breach of applicable selling obligations—Seller bears its attributable responsibility under this Agreement, subject to law and actual payment arrangements.
PAWITURE-attributable matters. PAWITURE bears amounts and relevant costs attributable to its own demonstrated incorrect or duplicate charge, payment-processing or marketplace operational error to the extent required by law and agreed commercial allocation. Seller is not automatically charged for a PAWITURE error merely because the direct charge was technically processed on Seller’s Connected Account.
Unauthorized-payment and unresolved matters. For suspected unauthorized use, fraud, mixed causes or otherwise undetermined responsibility, PAWITURE will assess available payment and fulfillment evidence, applicable payment protections and verified recoveries before applying an internal allocation. Neither Party guarantees a dispute victory, a fraud-protection payout or immunity from Stripe’s negative-balance terms.
18. Commission treatment of disputes and fraud
Disputes do not automatically receive the ordinary refund commission treatment under Section 15. While a dispute is pending, PAWITURE provisionally retains the original commission unless applicable payment rules require otherwise. If the dispute is won and Seller retains the sale proceeds, PAWITURE retains the commission. If a dispute is permanently lost and demonstrably Seller-attributable, PAWITURE ordinarily retains its original commission, without adding a new penalty, subject to applicable law and any expressly approved exception. If a permanently lost dispute is demonstrably PAWITURE-attributable, PAWITURE returns the commission attributable to the lost merchandise/shipping Commission Base and bears its own attributable loss and costs.
For a permanently lost, no-fault unauthorized-payment or fraud dispute where Seller fault has not been established, commission treatment depends on what Seller ultimately and verifiably recovers: (a) if Seller receives its agreed net sale proceeds through a verified protection or reimbursement, PAWITURE retains the associated commission; (b) if Seller receives no reimbursement for the permanently lost Commission Base, PAWITURE returns the associated commission; and (c) if Seller receives a partial verified recovery, PAWITURE retains commission only on the recovered Commission Base ultimately received by Seller and returns commission attributable to the unrecovered portion. Tax-only reimbursements do not create a Commission Base. PAWITURE-only reimbursement does not justify commission retention unless Seller ultimately receives the proceeds required by this allocation.
Any later verified recovery, reversal or corrected responsibility finding must be reconciled using the original Order’s fee base and rate, prior adjustments and actual Stripe activity. No aggregate return may exceed the commission actually charged; no loss, fee or reimbursement may be collected twice.
19. Negative balances, restrictions and lawful recovery
Seller remains responsible for amounts properly due under this Agreement, including appropriate refund, processing and Seller-attributable dispute obligations, subject to Sections 15–18, payment contracts and applicable law. PAWITURE will use supported Stripe and payment-service recovery or payout mechanisms and is not establishing a separate PAWITURE bank account, debt-collection service or payout ledger. This Agreement does not grant PAWITURE an unrestricted right to debit Seller’s bank account, impose punitive fines or retain unrelated funds.
A temporary negative Connected Account balance does not itself automatically suspend Seller. PAWITURE may restrict new transactions for material unresolved payment obligations, repeated disputes, suspected fraud, safety concerns or other serious exposure, after reasonable assessment and with appropriate notice or a chance to cure where feasible. Urgent risk may require immediate action. Restrictions on new sales do not eliminate obligations to fulfill existing paid Orders, process lawful refunds, respond to disputes or preserve necessary records. PAWITURE’s obligations and potential exposure to Stripe are determined by actual provider contracts, not disclaimed by this clause.
20. Sales tax and other taxes
Sales tax is excluded from PAWITURE’s Commission Base. Each Party will comply with the tax obligations legally applicable to it, including any marketplace-facilitator, seller, reporting, withholding, registration, return or remittance obligations. Responsibility may differ by jurisdiction and transaction. Neither Party is made universally responsible for every U.S. state or local sales tax by this Agreement. Where law requires one Party to collect or remit tax, the other Party will provide reasonably requested accurate information and cooperation needed to fulfill that obligation.
Seller must accurately provide tax or business information it is legally obligated to furnish through the approved channel, maintain its own relevant tax records, and avoid representations that PAWITURE’s Stripe onboarding alone discharges sales-tax responsibilities. Where applicable law assigns marketplace-facilitator collection or remittance duties to PAWITURE, PAWITURE is responsible for those duties; where such duties remain with Seller, Seller is responsible. Shipping may be taxed differently according to the applicable jurisdiction and transaction. Neither party may transfer a nondelegable statutory duty to the other by this Agreement.
21. Financial records and account reporting
PAWITURE may make basic Order and transaction information available to Seller, including merchandise, shipping, applicable tax, original commission rate and amount, refunds, adjustments, payment status and relevant seller-side proceeds information made available through the Marketplace. These records support marketplace administration; they are not an independent accounting system or a representation of Stripe’s available balance or actual bank payout. Seller remains responsible for its lawful bookkeeping and tax reporting, and should reconcile its Stripe records with marketplace Order history.
Seller will not attempt to change stored payment, marketplace-fee, refund, dispute or other protected financial data outside authorized workflows. PAWITURE may retain original Order records and the associated adjustment history as needed for authorized dispute/refund handling and accurate recordkeeping, subject to applicable retention and privacy requirements.
22. Product safety, compliance and third-party rights
Seller represents and agrees that each Seller Product and associated sale will comply with applicable product-safety, labeling, intellectual-property, advertising, consumer-protection and trade requirements. Seller is responsible for securing permits, licenses, supply-chain rights and required product notices relevant to its business. Seller must not submit counterfeit merchandise, infringing designs, false origin claims or unauthorized third-party trademarks, photographs or descriptions.
If Seller learns of a significant safety defect, regulatory inquiry, recall, infringement claim or material misrepresentation affecting a Marketplace product or existing Buyer Order, Seller will take legally required protective steps, provide appropriate cooperation and promptly notify PAWITURE when needed to protect consumers or comply with law. PAWITURE may suspend listings or order eligibility while it evaluates a substantiated concern; doing so does not constitute PAWITURE’s certification of products that remain listed.
23. Buyer information, confidentiality and privacy
PAWITURE will provide Seller only the Buyer and Order information reasonably needed for permitted fulfillment, refunds, support, invoices and related lawful purposes. Seller must protect that information using reasonable administrative and technical safeguards, limit personnel and service-provider access to legitimate operational need, avoid unnecessary copies and exports, and prevent unauthorized disclosure. Seller must not sell Buyer data, construct unrelated marketing lists or send unsolicited promotional messages merely because a Buyer purchased through PAWITURE.
Seller must comply with applicable data-protection and marketing laws and with any valid consents separately obtained. Seller must reasonably cooperate with PAWITURE concerning verified privacy requests, suspected unauthorized access or disclosure, preservation duties and lawful deletion when information is no longer needed, subject to legal retention obligations. Seller must promptly report a material incident involving Marketplace Buyer information through the designated PAWITURE support/legal channel and cooperate in lawful investigation and notice. No fixed statutory notification deadline is invented here; applicable law controls.
PAWITURE’s Privacy Policy describes its own stated practices; this Agreement does not itself determine whether the Parties are independent controllers, joint controllers or processors in every jurisdiction. Any additional legally required privacy allocation, schedule or data-processing arrangement must be separately assessed and approved. Each Party must keep the other’s nonpublic operational or security information confidential except for authorized performance, professional advice or legally compelled disclosure.
24. Intellectual property; limited platform license
Seller retains its ownership of its trademarks, brands, product photographs and other Seller Content, subject to third-party rights. Seller grants PAWITURE a nonexclusive, royalty-free license during its participation in the Marketplace to host, reproduce, display, format, distribute and technically adapt Seller Content solely to operate, make accessible and reasonably promote Seller’s Marketplace storefront, products and PAWITURE marketplace commerce, including through relevant service providers bound to appropriate restrictions. This license is not a sale or transfer of Seller’s intellectual property and does not authorize unrelated commercialization of Seller Content.
After removal or termination, PAWITURE will cease new public promotional use of withdrawn Seller Content within a reasonable operational period, while retaining copies as reasonably necessary for existing Orders, records, claims, compliance and lawful backups. Seller represents it has all necessary permissions and will promptly address credible third-party rights complaints. PAWITURE retains its own trademarks, design, software, databases, presentation standards and other rights. Seller receives a limited, revocable right to use Marketplace functions only as authorized and may not imitate PAWITURE branding in a misleading way.
25. Marketplace integrity; no evasive conduct
Seller must not manipulate prices, orders, reviews or payment outcomes; create sham transactions; evade fraud controls; scrape or attack private systems; access another seller’s information; misstate its relationship with PAWITURE; or use Buyer information or communications to defraud, harass or mislead. Seller must not ask a Buyer to cancel or move a transaction originating within PAWITURE outside PAWITURE for the purpose of avoiding the agreed commission or checkout safeguards.
This is not an exclusive distribution agreement. Seller may lawfully operate its own website, market its brand, sell on other channels and independently maintain its customer relationships, including relationships with people who also happen to be PAWITURE Buyers. This narrowly targeted anti-evasion provision does not prohibit legitimate independent business or competition.
26. Seller restrictions, suspension and termination
Seller may request closure of its participation through the designated PAWITURE support process, subject to completion of existing obligations and legally required recordkeeping. PAWITURE may suspend new selling, unpublish affected listings, restrict checkout, reject launch or terminate participation for a material breach, product risk, fraud, payment ineligibility, legal violation or other legitimate safety/operational reason, acting proportionately and subject to applicable law. PAWITURE may provide notice and a reasonable opportunity to correct remediable issues when circumstances permit; urgent risks may require immediate action.
Termination or suspension does not automatically cancel paid Orders or excuse refunds, chargebacks, Taxes, cooperation, safety measures or accrued amounts that survive under law and the Agreement. PAWITURE may keep a reasonable secure channel for handling preexisting Orders and legally required records, even when new sales are unavailable. Subject to lawful retention and restoration needs, the Parties will address removal of public content, access to necessary records and final financial reconciliation. Neither Party may erase required evidence to frustrate a Buyer’s claim or valid dispute.
27. Seller representations and warranties
Seller represents, warrants and agrees throughout its participation that: (a) it has authority to contract and perform; (b) its business, listings, Seller Products, Seller Content and sales comply with applicable law; (c) it owns or has sufficient rights to supply its products and content; (d) its Buyer-facing claims are materially truthful and not misleading; (e) it will fulfill lawful paid Orders and honor applicable remedies; and (f) it will maintain accurate account, financial verification and customer-support information. Seller will promptly correct any material breach of those representations and cooperate in appropriate Buyer protection.
PAWITURE will perform its expressly agreed marketplace functions using reasonable care, subject to operational interruptions and the rights and limitations expressly stated here and under applicable law. No statement in this Agreement waives nonwaivable consumer rights or excuses either Party’s intentional misconduct.
28. Third-party claims and indemnification
To the extent permitted by applicable law, Seller will defend and indemnify PAWITURE and its directors, officers, employees and authorized agents against third-party claims, resulting judgments, settlements approved in accordance with this Section, and reasonable external defense costs, to the extent caused by (a) a Seller Product that causes personal injury or property damage; (b) Seller’s violation of applicable product-safety, consumer-protection, intellectual-property or privacy law; (c) infringing or unlawfully supplied Seller Content; or (d) Seller’s fraud, willful misconduct or material breach of this Agreement. Seller will not be responsible under this indemnity to the extent the loss was caused by PAWITURE’s negligence, misconduct, breach, or other legally attributable conduct.
PAWITURE will promptly give Seller reasonably available notice of a covered claim, subject to any material prejudice caused by delay, and reasonably cooperate in its defense at Seller’s expense for reasonable out-of-pocket costs. The Parties will coordinate counsel and defense strategy in good faith. Seller may not agree to a settlement imposing an admission, nonmonetary obligation or continuing restriction on PAWITURE without its prior written consent, not unreasonably withheld. PAWITURE may participate with separate counsel at its own expense unless a material conflict requires otherwise. This Section does not make Seller responsible for PAWITURE-attributable payment or operational errors under Section 17 or relieve PAWITURE of liabilities imposed by law.
29. Disclaimers and liability allocation
Except for express obligations in this Agreement and rights that may not lawfully be excluded, PAWITURE does not guarantee uninterrupted Marketplace access, any volume of visitors or sales, product visibility, particular payment-dispute results, or settlement or payout timing controlled by Stripe and other third parties. PAWITURE will exercise reasonable care in carrying out its expressly agreed Marketplace responsibilities. Each Party remains responsible for its own fraud, willful misconduct, materially wrongful conduct and legal obligations to the extent applicable law so requires.
As between the Parties, a claim for losses must be assessed in light of its cause, reasonable foreseeability, applicable mitigation, the specific risk allocations in this Agreement, and mandatory law. Neither Party may use a general disclaimer to avoid amounts properly owed on completed Orders, legally required Buyer remedies, PAWITURE-attributable transaction errors, or obligations under Sections 15–20 and 23–28. No agreed monetary aggregate liability cap, blanket exclusion of consequential damages, or special damages waiver is established by this Section; any such limitation would require a separately approved express contractual provision.
30. Force majeure and service interruptions
A Party will not be liable for delay in performing a nonpayment obligation to the extent directly caused by a circumstance outside its reasonable control that it could not reasonably prevent or mitigate, such as a major natural disaster, widespread infrastructure failure or government prohibition. The affected Party must give reasonably prompt notice when feasible and take reasonable steps to reduce harm. This Section does not erase paid Buyer Orders, required customer remedies, data-security duties, or payment liabilities that applicable law does not permit the Parties to excuse.
31. Amendments, notices and agreement versions
This Agreement takes effect for an individual Seller when its authorized representative validly accepts the legally approved, published version through PAWITURE’s designated acceptance process. PAWITURE will identify the version accepted and preserve the associated agreement text and acceptance history in accordance with applicable law and its recordkeeping obligations. If PAWITURE materially changes this Agreement, it will give appropriate advance notice where legally required and obtain renewed acceptance when required by law or PAWITURE’s applicable agreement process. Revised financial terms apply prospectively unless the Parties validly agree otherwise; no update retroactively changes an Order’s original fee rate, commission basis or accrued obligations.
PAWITURE may send routine operational notices to the registered Seller email address or through the authenticated Seller Dashboard. Seller must keep its contact details current. Questions and ordinary support requests may be sent to support@pawiture.com. Contractual inquiries and legal correspondence may be directed to legal@pawiture.com. A support message does not automatically qualify as formal legal notice. Formal notices must comply with applicable law and any mandatory delivery requirements; where an additional physical address or method is legally required, PAWITURE must provide those details before the relevant notice mechanism is relied upon.
32. Disputes between the Parties and applicable law
The Parties will seek in good faith to resolve contractual disagreements through designated business or legal contacts before filing a proceeding when doing so is reasonably practicable and does not impair any statutory deadline, urgent remedy or Buyer right. This Agreement is subject to the law properly applicable to the Parties and the dispute under governing conflict-of-laws principles. A court having competent jurisdiction under that law may determine unresolved disputes, subject to legally applicable jurisdiction and venue rules. This Agreement does not impose mandatory arbitration, a class-action waiver, a jury waiver or a contractual choice of governing state or exclusive venue.
33. General provisions
This Agreement, together with validly incorporated and communicated Marketplace Policies, forms the Parties’ agreement concerning Seller’s participation in PAWITURE to the extent lawfully adopted; it does not supersede a Seller’s separate mandatory agreements with Stripe or override Buyer rights. If an enforceable provision is invalid or unenforceable, the remaining provisions will continue to the extent legally permitted, with any necessary narrow construction determined under governing law. A failure to enforce a term on one occasion does not automatically waive it later.
Neither Party may assign its rights or delegate material duties under this Agreement without the other Party’s consent where that consent is required by law. An assignment will not extinguish accrued obligations, and any permitted successor remains responsible for obligations validly transferred to it. No third party receives contractual enforcement rights merely by reference to this Agreement, except where a final, expressly approved term or law says otherwise. Provisions that by nature must continue—including accrued commissions, refunds, disputes, payments owed, customer data protection, confidentiality, intellectual-property rights, pre-termination Orders, authorized record retention, liability allocation and dispute resolution—survive only to the extent appropriate and legally enforceable.
34. Contact and acceptance
For assistance with Seller onboarding, Marketplace Orders, customer support and routine operating matters, contact support@pawiture.com. For questions about this Agreement, contractual inquiries and legal correspondence, contact legal@pawiture.com. Formal legal notice may require a different or additional delivery method under Section 31 and applicable law; sending an ordinary support inquiry alone does not satisfy that requirement.
